Member Terms & Conditions

Thank you for your interest in the Nutrition Travel Exchange. These Terms and Conditions include the rules, rights, and responsibilities that govern your membership and use of this service. By submitting your application, you acknowledge that you have read, understood, and agree to these Terms and Conditions.

Definitions

In this agreement, the following terms shall have the meanings ascribed to them below.

Terms” or “Terms and Conditions” refers to this document, which constitutes the legally binding agreement between the Member and Nutrition Travel Exchange governing the use of the Service.

Nutrition Travel Exchange” refers to Sound Nutrition Counseling PLLC’s teaching vacation program for Registered Dietitian Nutritionists. Sound Nutrition Counseling, PLLC is registered under Washington State per RCW 19.80.10 to do business as “Nutrition Travel Exchange”.

Content” refers to any text, images, videos, audio, or other material made available through the Service, including but not limited to user-generated content, company content, and third-party content.

Member” refers to the Registered Dietitian Nutritionists (RDN) whose applications are accepted with this Nutrition Travel Exchange Program of Sound Nutrition Counseling PLLC.

“Companion” refers to the additional person(s) the Member chooses to participate in the scheduled teaching vacation.

“Guest” refers to paid guests at host resorts who have partnered with Nutrition Travel Exchange.  Guests will be the primary audience at the teaching vacation classes.

Registered Dietitian Nutritionists” or “RDN” refers to practitioners licensed with the Commission on Dietetic Registration (USA) or who have passed the Canadian Dietetic Registration Examination specific to their Canadian Province. 

Conditions

  • Sound Nutrition’s Responsibilities

Sound Nutrition Counseling PLLC (DBA Nutrition Travel Exchange) is responsible for communicating teaching vacation locations and dates available for travel to Members.  Nutrition Travel Exchange is responsible for confirming Member teaching vacations with the resort reservations department and with Members once the resort has approved or not approved the visiting Member’s stay.  NTE is not responsible for  Member approval or denial by the resort. Once the resort approves or disapproves a Member’s stay, Nutrition Travel Exchange is responsible for communicating this to the Member.  NTE is not responsible for the resort’s approval or denial of a Member’s request. For resort-approved Member stays, NTE is responsible for ensuring that the agreed upon teaching vacation occurs and that the Member and Member’s Companion are supplied with an all-inclusive stay at the destination resort or resort partner.  Updates to terms and conditions will be kept current and available for review at any time at the Nutrition Travel Exchange website.  Nutrition Travel Exchange is responsible for reviewing and approving program applicants and reserves the right to deny or cancel membership at any time and at their discretion. Membership & resort matching are subject to the approval of Sound Nutrition/Nutrition Travel Exchange. Resort matching is the process of identifying dietitians who best fit the resort’s distinctive personality. NTE is responsible for releasing available locations and available travel dates to Members who best fit the personality of the specific resort.  

  • Member Responsibilities

Members are not independent contractors or employees of Sound Nutrition Counseling PLLC or Sound Nutrition’s Travel Exchange Program.  Members participate as independent professionals for educational exchange purposes and are not employees or agents of Sound Nutrition. Nothing in this Agreement shall create an employment, partnership, or agency relationship.

Members are aware that available locations and travel dates will be released first to Members who are best suited to the specific resort.  Members fulfill teaching and other requirements outlined in the membership application, including class and activity length, class materials and prizes, class timing, class frequency, and other needs as shared by Sound Nutrition prior to and during travel.  When prizes or guest giveaways include an ingestible item, it is the Members responsibility to ensure guest safety related to allergy risk and product safety. Arrival and departure flights booked must without exception be the exact dates shared by NTE.  Members will not plan to arrive or depart on a planned teaching day.  In the event that a Member fails to fulfill time/duties/enthusiasm requirement during the scheduled (Sunday arrival, Sunday departure, and specified on-site activities) teaching vacation, Member and companion may be asked to vacate the resort immediately, forfeiting the program fee and $300 cancellation fee as well as immediate termination of both NTE membership and resort accommodation – all at Member’s expense (including but not limited to flight changes and alternate accommodations). Members are solely responsible for flights plus ground transfers to and from the designated location for the contracted dates of travel.  Arrival and departure flight times must align with the agreed timeline.  Member headshot photos must be professional and approved by Nutrition Travel Exchange and by the resort.   Members are responsible for obtaining a professional, acceptable headshot.  In addition to financial obligations, booked members are required to present companion names for confirmation of booked teaching vacation. Members assume responsibility for proper passport status and travel insurance.  Companion information including requests for additional companions must be specified in reservation request form prior to reservation confirmation.  All members/RDNs and their companions designate “vacation”, “leisure”, or “pleasure” on all customs declaration forms.  Designating “business” or even “vacation/business” does not accurately define our purpose for visiting.  Members are advised to designate ‘vacation’ or ‘leisure’ on customs forms in accordance with NTE’s program purpose. Selecting ‘business’ may lead to complications at customs.

All information provided by members via on-line form or written correspondence pertaining to the qualifications, experience, liability insurance, or professional specialties is sworn to be correct and current and it’s understood and agreed that Sound Nutrition / Nutrition Travel Exchange vendors, agents, resort partners and representatives are relying upon the information submitted by the member. Inaccurate information, intentional or not, may disqualify Member from future use of this teaching exchange program.  Reservation status is contingent on Member delivering agreed upon service.  Failure to deliver classes/activities at planned times, lengths, and content will jeopardize reservation and Member will be required to forfeit the $300 cancellation fee, leave mid-trip and will be responsible for all resulting costs incurred including but not limited to flight changes and/or alternative accommodations.  It is the responsibility of the RDN/member to carry active professional limited liability insurance. Member agrees to distribute class evaluations to each member at the end of each activity if requested.  Member agrees to share a minimum of 3 – 4 clas-related pictures and 3 – 4 scenery pictures with Nutrition Travel Exchange for sharing on social media and for training purposes. Members are responsible for doing their own due diligence when researching destinations or resorts and deciding whether to request or confirm an NTE trip. If a Member is dissatisfied with any aspect of their accommodations or resort experience, NTE cannot be held responsible for compensation or refunds. Members are responsible for monitoring terms and condition updates via Nutrition Travel Exchange website or upon request via email [email protected].

Supplies and Materials:

Members may be asked to bring, transport, or deliver reasonable quantities of class supplies, printed materials, or other materials by Nutrition Travel Exchange. When this occurs, Members will be notified in advance, and all related costs (if any) will be pre-approved by Nutrition Travel Exchange.

  • Code of Conduct

RDNs and companions agree to uphold professional appearance and behavior while on teaching vacation, including avoiding discussing fees or costs with resort employees and resort guests. Members will avoid discussing fees or requests with resort staff. Members will wear appropriate attire during teaching times and will not wear swimsuits or swimsuit plus swimsuit coverup at teaching times. Members will never body or food shame guests.  Report of a body or food shaming incident will be taken very seriously and may result in member disqualification. Failure to adhere to this Code may result in termination of membership and exclusion from future programs.

  • Disclaimer of Liability

As a member and not an independent contractor or employee, Sound Nutrition/Nutrition Travel Exchange is not liable for any misconduct claims or otherwise.  Professionals acknowledge they are in good physical condition and have no known high risk health issues that prohibit traveling to any of these destinations, or engaging in their services. Sound Nutrition/Nutrition Travel Exchange and the host resort are not liable for items stolen or lost.  Sound Nutrition/Nutrition Travel Exchange and the host resort are not liable for member or companion injuries. To the fullest extent permitted by law, NTE shall not be liable for any indirect, incidental, consequential, or punitive damages arising from participation in the program.

  • Intellectual Property

The copyright for all material provided in or by this program, including marketing materials, educational/class/teaching materials, email content, and social media marketing is held by Sound Nutrition/Nutrition Travel Exchange. None of this material may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means without written permission. Input from members regarding new content is welcomed and may  be incorporated into programming after review. Membership will be terminated if a Member attempts to plagiarize or share Sound Nutrition’s Nutrition Travel Exchange program property by using language verbatim from the websites without permission or promoting another company with the use of images from Nutrition Travel Exchange teaching vacations on social media or the illicit use of Nutrition Travel Exchange intellectual property. Members grant NTE a perpetual, worldwide, royalty-free license to use photographs and materials shared for marketing and training purposes.

  • Confidentiality and Non-Solicitation

Guest information including photos are not allowed to be posted or shared, including on social media, without written permission from guests using Nutrition Travel Exchange photo release forms. Members are considered representatives of this Nutrition Travel Exchange program and as such will promote this program and not their own businesses which is considered a conflict of interest. An exception is if/when “nutrition coaching” with a resort guest results in continued mutual work following the teaching vacation. Members agree they shall not solicit or accept any teaching/training responsibilities with contracted resorts. Attempting to self-negotiate or accept a position with facilities similar to or associated with this Travel Exchange program is a violation of this agreement and may lead to the immediate termination of the Member account and future opportunities with this program as well as potential equitable relief and damages as permitted by law.This restriction shall apply during membership and for 12 months following termination.

  • Scheduling and Cancellations

Canceling a teaching vacation for any reason (no exceptions) forfeits the fees paid to Sound Nutrition / Nutrition Travel Exchange, along with a penalty of $300 charged at the time of cancellation. No refunds or credits will be issued and Sound Nutrition/Nutrition Travel Exchange shall not be liable or responsible for travel arrangements purchased, changed or canceled, nor pay for alternate accommodations or extra fees incurred for the scheduled travel time. NTE shall not be liable for delays or cancellations caused by acts of God, natural disasters, war, strikes, pandemics, government shutdowns, travel restrictions, airline disruptions, or other events beyond its control.

  • Assumption of Risk

On the rare occurrence that a resort is at capacity and needs to relocate the traveling RDN member and companion(s) for part or all of a booked vacation, the RDN member and companion(s) cooperation is required. When traveling to tropical and temperate zones, there is inherent risk of certain tropical illnesses such as malaria, yellow fever, and certain intestinal disorders. It is the members responsibility to consult with health professionals and/or review the CDC website. It is the responsibility of the traveler to appropriately research the destination region’s safety, health, airport and travel safety guidelines prior to booking. All valuables should always be kept in a secure location. Members voluntarily assume all risks associated with travel, including illness, injury, theft, and other unforeseen circumstances.

  • Dispute Resolution

Consent to Jurisdiction and Forum for Travel Program: The parties agree that any judicial action or proceeding arising in connection to and specifically with Sound Nutrition/ Nutrition Travel Exchange shall be brought and litigated exclusively in the State and Federal Courts located in King County, Washington.  This forum selection is intended by the parties to be mandatory in nature, and the parties waive their respective rights to object to the forum.  The parties further agree and stipulate that the above State and Federal Courts have in personam jurisdiction over each of them for purposes of litigating any disputes arising out of or related to the Sound Nutrition/Nutrition Travel Exchange, and further hereby agree to and accept service of process sufficient for personal jurisdiction in either such State or Federal Court. 

  • Governing Law

Sound Nutrition/Nutrition Travel Exchange shall be governed by and construed in accordance with the laws of the State of Washington. Attorney Fees: In any action at law or in equity, including an action for declaratory relief, brought to enforce, construe, or interpret the terms of this Travel Program Agreement, the prevailing party shall be entitled to recover reasonable attorney fees, plus costs and expenses of such action.  

  • Severability
    If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.

Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements, representations, or communications.
